Continued use after the applicable notice period constitutes acceptance of the updated terms only where the Customer has not exercised that termination right.

15.3 Waiver. No failure or delay by a Party to exercise any right or remedy provided under this Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

15.4 Severability. If any provision or part-provision of this Agreement is or becomes invalid, illegal, or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of this Agreement. 15.8 Force Majeure. Neither Party shall be in breach of this Agreement or otherwise liable to the other Party for any failure or delay in performing its obligations under thisAgreement (other than an obligation to pay Fees) to the extent that such failure or delay is caused by a Force Majeure Event. A Party whose performance is affected by a Force Majeure Event shall: a) promptly notify the other Party of the Force Majeure Event and its expected duration; b) use all reasonable endeavours to mitigate the effect of the Force Majeure Event; and c) resume performance of its obligations as soon as reasonably practicable after the Force Majeure Event ceases. If the Force Majeure Event continues for a period of sixty (60) days or more, either Party may terminate this Agreement by giving thirty (30) days’ written notice to the other Party.

15.9 This Agreement does not require signature by either Party. The Customer accepts this Agreement by clicking the Click to Accept Button as part of the Provider’s online registration and subscription process. By clicking the Click to Accept Button, the Customer confirms that it has read and agrees to be bound by this Agreement. Where the Customer is an entity and the individual clicking the Click to Accept Button does so on its behalf, that individual confirms that they are authorised to enter into this Agreement on behalf of and bind the Customer. This Agreement is formed and becomes binding on the Customer and the Provider when the Customer clicks the Click to Accept Button, and that date shall be the Effective Date.
