5. YOUR DATA AND PRIVACY

21. Your privacy is important to us. This section provides a summary of how we handle your data. Full details are set out in the Privacy Notice - End Users, as published at areela.com/legal and as updated from time to time, which you should read carefully.

22. We collect and process the following categories of personal data:

a) Identity data: your name, profile photograph and date of birth;

b) Contact data: your email address, phone number and country of residence;

c) Demographic data: gender and country;

d) Fitness and lifestyle data: fitness goals, lifestyle information, injury history, Physical Activity Readiness Questionnaire (PAR-Q) responses, allergies, current medication and blood type;e) Activity data: workout logs, nutrition logs, hydration tracking, journal entries and progress photographs. Images and files uploaded through AI-powered features may be transmitted to third-party AI providers and may be subject to automated safety and security screening.

f) Wearable device data: activity metrics, sleep data, heart rate, blood oxygen saturation, glucose readings, body temperature and location data (where you grant permission); and

g) Usage data: information about how you use the App, including device information and interaction logs.

23. Some of the data we collect, including information about your physical health, injuries, allergies, medication and PAR-Q responses, constitutes special category data (also known as sensitive personal data) under the UK General Data Protection Regulation (“UK GDPR”). We process this data on the basis of your explicit consent in accordance with Article 9(2)(a) of the UK GDPR. You may withdraw your consent at any time by contacting us at support@areela.com, but please be aware that doing so may affect our ability to provide certain features of the App.

24. Your personal data, including fitness data, health information and progress updates, is shared with your assigned Coach through the Platform. Your Coach uses this data to provide personalised coaching services. Coaches are independent professionals and are responsible for their own compliance with data protection law in respect of data they access through the Platform.

25. We may use de-identified, anonymised or aggregated data (which does not identify you personally) to analyse trends, improve the Platform, develop new features and for other legitimate business purposes. Such data is not considered personal data under applicable data protection law.

26. A list of our current sub-processors is available in the Privacy Notice - End Users, as published at areela.com/legal and as updated from time to time. Your personal data flows through the Platform’s infrastructure, hosted in the United Kingdom (EU West (London, United Kingdom)), and may be processed by third-party sub-processors, including OpenAI OpCo, LLC for AI features, Terra API, Inc. for wearable data, ElevenLabs, Inc. for voice features and Stripe for payments. Your data may also be processed by other providers in the European Economic Area (“EEA”) and the United States. AI services involve processing in the United States under a UK data residency/processing region arrangement. When you use AI features, your data may be processed in the United States by our AI service provider, subject to appropriate data transfer safeguards, including the UK Addendum to the EU Standard Contractual Clauses. Our AI provider acts as a data processor and processes your data only to deliver the service to you. We ensure that appropriate safeguards are in place for any international transfers, including contractual protections such as the UK International Data Transfer Agreement (“UK IDTA”) issued by the UK Information Commissioner’s Office, where applicable, adequacy decisions and, for eligible OpenAI endpoints, the applicable Zero Data Retention (“ZDR”) arrangement.

27. Your personal data will not be transferred to or processed in China, Russia, India or any jurisdiction that does not provide an adequate level of data protection without appropriate safeguards being in place. Currently, international transfers are limited to the United States, in addition to the UK and EEA.

6. AI FEATURES

28. The App includes an AI-powered assistant called “Areela” (the “AI Assistant” or “Client AI Assistant”), which is designed to support you with health, fitness andprogramme-related topics, including nutrition and wellness where relevant. The AI Assistant is restricted to those topics and is not a general-purpose assistant. It can answer questions, provide explanations of exercises and techniques, and offer general encouragement and motivation within that scope.

29. The AI features are provided on a best-efforts basis and may include features labelled as “beta” or experimental. Beta AI features have not been subject to the same level of testing and may be less reliable. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content. In particular, the AI Assistant is currently in beta and can make mistakes. You should always verify any information or recommendations provided by the AI Assistant before acting on them. AI-generated content may be inaccurate, incomplete or out of date. You use AI features at your own discretion and risk.

30. Where the AI Assistant provides recommendations, it will provide reasoning to help you understand the basis for its suggestions. This reasoning is provided for transparency and to help you make informed decisions. It does not constitute professional advice.

31. The AI Assistant includes the following safeguards:

a) Off-topic redirection: the AI Assistant is restricted to health, fitness and programme- related topics, including nutrition and wellness where relevant. If you ask about unrelated subjects, it will redirect the conversation back to relevant topics.

b) Content review: AI-generated responses, including refusal and redirection messages, are reviewed for inappropriate, harmful or offensive content before display and are filtered, removed or rewritten as appropriate.

c) Programme-change escalation: the AI Assistant cannot make changes to your programme. Requests that would require a programme change are escalated to your Coach for review and action. THE AI ASSISTANT IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL, HEALTH OR DIETARY ADVICE. AI-generated insights, recommendations, and suggestions provided through the App are for general informational and fitness coaching purposes only. They do not constitute medical advice, diagnosis, treatment, health advice or dietary advice. Our AI service provider prohibits the use of AI for making automated high-stakes medical decisions without human review. Always consult a qualified healthcare professional before making any decisions relating to your health, particularly regarding injuries, medical conditions, or medication.

32. Core functions are available without using the AI Assistant. If you prefer not to use AI features, you can still build workouts and programmes, log food and nutrition, log activities and workouts, track your progress, communicate with your Coach and use the other non-AI functionality of the App. We will provide an opt-out mechanism for AI features where technically feasible; where a particular feature does not technically support an opt-out, we will identify that limitation and provide the non-AI functionality where reasonably practicable.

33. We do not use your personal data to train AI models. AI-powered features within the App use third-party artificial intelligence services provided by OpenAI OpCo, LLC. For eligible text-based AI interactions, Zero Data Retention (“ZDR”) is enabled, which means that your inputs and the AI’s responses are not stored by OpenAI beyond the immediate processing of your request. However, image and file inputs (such as progress photos) transmitted to AI services may be retained for automated safety screening purposes. ZDR applies only to eligible endpoints and configured projects,and retention for image and file inputs for automated safety screening is separate from ZDR.

34. Whenever you interact with AI-generated content or the AI Assistant, the App will display a clear, prominent in-app banner or other notice, such as “This content was generated with AI assistance.” In accordance with the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), we inform you that: (a) you are interacting with an AI system; (b) the AI Assistant generates content using large language models; and (c) its outputs are machine-generated and should be verified before reliance. The App will provide this disclosure at the point of interaction and in the AI Transparency and Use Policy, as published at areela.com/legal and as updated from time to time.

35. You have the right to contest any AI-generated output and to request human review of any AI-generated recommendation that materially affects you. If you believe that information provided by the AI Assistant is inaccurate, misleading or harmful, you may report it using the in-app feedback mechanism or by contacting us at support@areela.com. We will provide human review where reasonably practicable and appropriate, investigate your report and take corrective action where appropriate.

36. We encourage you to provide feedback on AI responses using the in-app feedback tools (such as thumbs-up, thumbs-down or written feedback). Your feedback helps us improve the accuracy and usefulness of the AI Assistant.

37. The AI features of the App are powered by the following third-party providers:

a) OpenAI: provides the large language model and other AI features. Prompts, conversation history and other text inputs are sent to OpenAI for processing through eligible endpoints under the ZDR arrangement. Image and file inputs, including progress photographs, may also be transmitted to OpenAI and may be retained by OpenAI for automated safety and security screening (“Safety Classification”); that retention is separate from and not covered by the ZDR arrangement.

b) ElevenLabs: provides text-to-speech functionality. Only the text of AI replies is sent to ElevenLabs for conversion to audio. No other personal data is shared with ElevenLabs.

38. You should be aware that image and file uploads processed through AI features are subject to OpenAI’s Safety Classification process. Images and files uploaded to the App, including progress photographs, may be transmitted to OpenAI and may be retained for automated safety and security screening; this retention is separate from and not covered by the ZDR arrangement.

39. If AI features are temporarily suspended or disabled because of an outage, failure or other issue affecting a third-party AI provider or the applicable Zero Data Retention (“ZDR”) arrangement, we will notify you in the App as soon as reasonably practicable. You will not be charged for any AI features that are unavailable during the suspension period, and we will restore or replace the affected features when reasonably practicable.

7. CHARGES AND PAYMENT

40. The App is currently provided to you free of charge. There are no subscription fees, in-app purchases or other charges payable by you for using the App at the date of this Agreement.

41. Your Coach may charge you separately for their coaching services. Any such charges are a matter between you and your Coach, and ME24 Limited is not responsible for, and has no involvement in, the pricing, billing or collection of coaching fees.8. CONSUMER RIGHTS

42. If you are a consumer (that is, an individual acting for purposes wholly or mainly outside your trade, business, craft or profession), you have certain statutory rights that cannot be excluded or limited by this Agreement.

43. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a statutory right to cancel this Agreement within 14 days of the date on which it is formed (the “14-day cooling-off period”). The cancellation and refund process is described in ME24 Limited’s Refund and Cancellation Policy, as published at areela.com/legal and as updated from time to time. However, if you expressly request that supply of digital content begins during the cooling-off period and acknowledge that doing so affects your cancellation rights, you may lose your right to cancel when supply begins. If the contract is for a service and you request that it begins during the cooling-off period, you may be required to pay for the service supplied up to cancellation and may lose the right to cancel once it has been fully performed, in each case as permitted by applicable law.

44. Under the Consumer Rights Act 2015, digital content supplied to you must be:

a) of satisfactory quality: the App should meet the standard that a reasonable person would consider satisfactory, taking into account any description, the price (if applicable) and all other relevant circumstances;

b) fit for a particular purpose: where you have made known to us any particular purpose for which you are using the App, the App should be fit for that purpose; and

c) as described: the App should match any description we have given of it.

45. Refunds and cancellation requests are handled in accordance with ME24 Limited’s Refund and Cancellation Policy, as published at areela.com/legal and as updated from time to time. If you downloaded the App from the Apple App Store or Google Play Store, the refund and return policies of the relevant app store may also apply. We recommend that you review the applicable app store’s terms for further information about your rights in respect of app purchases.

9. TERM AND TERMINATION

46. This Agreement begins on the date you accept it (by creating an account or first using the App) and continues until your account is deleted or this Agreement is otherwise terminated in accordance with its terms.

47. You may terminate this Agreement and close your account at any time by submitting a deletion request through the App, by contacting your Coach to request account deletion, or by emailing us directly at support@areela.com. We will process your request in accordance with this section.

48. We may terminate or suspend your account at any time if: (a) you breach any material term of this Agreement; (b) we are required to do so by law or regulation; (c) we discontinue the App or the relevant service; or (d) we have reasonable grounds to believe that your account has been compromised.

49. We may delete accounts that have been inactive for a prolonged period. Before doing so, we will give you at least 30 days’ notice to the email address associated with your account, giving you the opportunity to log in and reactivate your account.50. When you request account deletion, your account will be deactivated immediately and your data will be scheduled for permanent deletion. There is a 14-day grace period during which you may contact us at support@areela.com to cancel the deletion and restore your account. After the 14-day grace period, your data will be permanently and irreversibly deleted, except to the extent that we are required to retain certain data by law or for the establishment, exercise or defence of legal claims.

51. Following termination, we will handle your personal data in accordance with the applicable data retention periods described in the Privacy Notice - End Users, as published at areela.com/legal and as updated from time to time, and in our Data Retention Policy, as published at areela.com/legal and as updated from time to time. Where your Coach has a Subscription Services Agreement with us, Schedule 5 (Data Retention Schedule) of that agreement also applies. We will delete or anonymise your data in accordance with those applicable retention periods, unless retention is required by law.

52. You may request an export of your personal data at any time before or after account termination by contacting us at support@areela.com. We will provide your data in a commonly used, machine-readable format (such as CSV or JSON) within 30 days of your request, in accordance with your right to data portability under the UK GDPR.

53. The App is designed to facilitate fitness coaching, workout tracking and general wellness support. It is not intended to diagnose, treat, cure or prevent any disease or medical condition. You must exercise your own judgement and, where appropriate, seek professional advice before acting on any AI-generated content.

64. The limitations in this section reflect a fair allocation of risk between you and ME24 Limited and form an essential basis of this Agreement. We would not be able to provide the App to you on the current terms without these limitations.

12. CHANGES TO THIS AGREEMENT

65. We may update or amend this Agreement or make material changes to the App from time to time to reflect changes in our services, legal or regulatory requirements, or for other reasonable reasons.
